C&G Law advised ALI on the corporate, regulatory, and competition law aspects of a complex five-way merger. The merger involved ALI, the Philippines’ largest land developer with a market cap over P492 billion, and four of its subsidiaries. ALI, along with Cebu Holdings, Inc., is publicly listed. The Securities and Exchange Commission (SEC) approved the merger in December 2021 and later confirmed the exemption of ALI’s issuance of shares from registration requirements. This rare merger of publicly listed companies in the Philippines aims to achieve operational synergies, efficient funds management, and simplified regulatory reporting.
