Mary Thel (Thel) T. Mundin became a Partner of C&G Law in 2015. She heads the firm’s TMT & Fintech Sector Group and is a key member of the firm’s General Corporate Practice Group.

Thel’s practice areas include corporate services, financial technology, foreign investments, mergers & acquisitions, and TMT.

Prior to joining C&G Law in July 2013, Thel was an associate at SyCip Salazar Hernandez & Gatmaitan, a foreign legal advisor at Kelvin Chia Partnership (Singapore office), an associate at Villaraza Cruz Marcelo & Angangco, a Securities Counsel of the Securities and Exchange Commission’s (“SEC”) Company Registration and Monitoring Department, and later Chief Counsel of the SEC’s Market Regulation Department and a Member of the SEC’s Special Hearing Panel.

EXPERIENCE

Thel’s TMT & Fintech experience includes advising on and assisting with matters involving data privacy, technology, media, telecommunications and financial technology. 

In addition, Thel’s general corporate practice experience includes dealing with corporate and commercial transactions, particularly foreign and domestic investments, corporate services, mergers and acquisitions, and regulatory compliance. She has assisted several companies in share and asset acquisitions and capital restructuring in the Philippines. She has likewise conducted due diligence and other activities in connection with such transactions. She has extensive experience in assisting clients from the ASEAN region in investing in the Philippines and has advised and assisted various leading companies in the course of her practice in Manila and Singapore. 

Her selected TMT & Fintech experience has included: 

  • Advised clients on issues relating to technology and data protection.
  • Conducted data privacy compliance exercises, audits and trainings for multinational companies in various industries including, among others, electronics, logistics, banking and financial services, power, mining and manufacturing.
  • Advised various local and multinational clients on their data protection policies and manuals and other data privacy-related documents such as contracts and forms and drafting necessary documents for compliance with Philippine data privacy laws.
  • Assisted various clients in dealing with data privacy-related audits conducted by or registration and notice requirements submitted to the relevant government regulator.
  • Advised various clients including, among others, online social media and social networking service companies, online service providers, software companies and electronics companies in ensuring compliance with Philippine data privacy laws, as well as media, telecommunications, advertising, consumer and other regulatory compliance regulations.
  • Advised various clients and conducted due diligence in relation to proposed investments and joint ventures in data centers, digital cross-border financial solutions, and tech-based logistics company, among others.
  • Advised multinational and foreign companies on and assisted with registration as operator of payment system and other related matters.
  • Advised payment gateway service providers on applicable licensing and regulatory compliance regulations and reviewed service contracts and other related documents.
  • Advised international payments companies and other financial services companies on regulatory compliance issues in relation to their activities which involve, among others, remittance services, cryptocurrency and other virtual assets.
  • Advised software development companies on the regulatory requirements and compliance issues in relation to online gaming platforms.   

Her selected general corporate practice experience has included: 

  • Assisted clients with the incorporation or establishment of companies in various industries including advising on related issues such as corporate structuring and foreign investment.
  • Assisted and advised clients with various applications and requirements with the SEC.
  • Assisted in providing general corporate and advisory services to both multinational and local companies including, but not limited to, regulatory compliance matters.
  • Assisted with reviewing and drafting of contracts and other documents of clients in various industries.
  • Assisted clients in the acquisition or sale of properties and shares in various countries including the conduct of due diligence, drafting and review of sale agreements, joint venture or shareholders’ agreements, and other ancillary documents; managed the completion process; and advised on issues relating to the joint venture, acquisition or sale.
  • Participated in due diligence projects relating to the investment or potential acquisition of diverse industries.
  • Acted for a leading real estate company in the Philippines on its acquisition of properties for development into commercial and residential projects.
  • Assisted a real estate company in Singapore on its acquisition and financing of properties in Vietnam for development into residential projects.
  • Acting as counsel at the SEC, reviewed applications for, among others, the registration and amendment of the constitutional documents of entities, increase or decrease of capital stock, mergers and acquisitions and registration under the Foreign Investments Act of the Philippines.  
  • Assisted the SEC in the review of rule proposals of self-regulatory organizations and other market participants and the existing and proposed regulatory frameworks and market infrastructures governing the securities market and participants.
